General terms and conditions

1. General Terms and Conditions
All agreements between Corbulo Specialised Staffing B.V. and its client are subject to the following General Terms and Conditions. Deviations from these General Terms and Conditions can only be agreed between Corbulo Specialised Staffing B.V. and the client in writing.

2. Description of services
Corbulo Specialised Staffing B.V. helps organisations to resolve issues related to management and personnel provision aimed at long-term employment. These services are performed from an independent position vis-à-vis the organisations utilising them, and the proposed candidates. Corbulo Specialised Staffing B.V. observes total discretion with regard to company and personal details, and complies with the Wet Persoonsregistratie [Dutch Data Protection Act]. When performing an assignment, Corbulo Specialised Staffing B.V. is authorised to engage other experts if it becomes clear that it has been given an assignment that includes activities in a professional area other than its own. In addition, it is also authorised, in the performance of an assignment, to engage third parties or experts without requesting prior authorisation from the client.

3. Fees
The fee that Corbulo Specialised Staffing B.V. charges its client is a percentage of the gross annual salary, based on 40 hours a week,  that the client has agreed with a candidate proposed by Corbulo Specialised Staffing B.V. The gross annual salary is defined as the agreed annual salary including any 13th or 14th month, guaranteed or anticipated bonuses, fixed bonuses, profit share and other financial perks such as moving allowances, housing allowances, fixed representation costs, etcetera. The gross annual salary is also taken to include 25% of the list price (including BPM and VAT) of a company car provided to the candidate by the client.


4. Invoicing
The fee charged by Corbulo Specialised Staffing B.V. is not invoiced until the client has entered into an employment agreement with the candidate proposed by Corbulo Specialised Staffing B.V.

5. Payment term
The full amount of the fee must be paid within two weeks into bank account number 1037.49.837. If the payment term is exceeded, a statutory interest percentage will be levied on the outstanding amount in proportion to the period by which the payment term is exceeded.

6. Cancellation by candidate within one month
If the candidate cancels the employment agreement within one month of commencement, Corbulo Specialised Staffing B.V. will ensure replacement without charging another fee for this service, unless:

- the cancellation is the consequence of amending or non-performance of the employment agreement by the client.

- the cancellation of the employment agreement arises from staff cutbacks, a reorganisation, merger or acquisition.

- the client neglects informing the client of the cancellation by the candidate in writing within 7 days.

- the conditions as described in these general terms and conditions have not been complied with.

In these cases, the client shall only be entitled to charge the costs as described in Article 3.

7. Setoff
The client is not permitted to deduct any amount from the agreed price due to a counterclaim it has filed.

8. Payment default by client
If payment is not effected within the aforementioned term, then the client will be in default without any further notice of default, and will owe Corbulo Specialised Staffing B.V. interest equal to the statutory interest rate commencing on the day on which the payment term has expired. In addition, the client will owe Corbulo Specialised Staffing B.V. the legal costs incurred by Corbulo Specialised Staffing B.V. in all instances, unless these are unreasonably high. This only happens if legal proceedings are conducted between the client and Corbulo Specialised Staffing B.V. and the court order becomes final and conclusive, with the client being ruled against entirely or to a decisive extent. The client will also be responsible for the reasonable costs incurred in obtaining satisfaction out of court, which costs will amount to a minimum of 15% of the exigible amount. If Corbulo Specialised Staffing B.V. demonstrates that it has incurred higher costs, which were reasonably necessary, these will also qualify for compensation. The costs are set at a minimum of EUR 500 per event.

9. Recruitment of candidate by third parties
The client owes the entire fee for every candidate proposed by Corbulo Specialised Staffing B.V. who enters into an employment agreement within 18 months after introduction, with the client or with a (legal) person, company or institution affiliated to the client, or at the suggestion of the client with a third party who may or may not be affiliated to the client or Corbulo Specialised Staffing B.V.

10. Travel and accommodation costs
The client must reimburse travel and accommodation costs incurred by candidates for job interviews.

11. Currencies
All offers, invoices, etcetera are exclusive of VAT and stated in Euro, unless indicated otherwise.

12. Liability
Corbulo Specialised Staffing B.V. endeavours to provide professional and reliable assistance, but offers no guarantee whatsoever regarding a proposed candidate, and accepts no liability whatsoever for any loss, damage, liability, delays, costs or expenses arising from or related to the activities performed by Corbulo Specialised Staffing B.V. for the client. Corbulo Specialised Staffing B.V. is also not responsible for the verification of references, testimonials, report cards, certificates, diplomas and the like of proposed candidates, nor for obtaining or verifying work permits or verifying the mental or physical condition of candidates. Problems as a result of force majeure that disrupt ordinary business operations and delay the performance of any assignment or make it reasonably impossible, discharge Corbulo Specialised Staffing B.V. from compliance with the agreed delivery term or obligation to deliver, without the client being entitled in that regard to any compensation of the costs, damage and interest. If Corbulo Specialised Staffing B.V. is liable for any damage, Corbulo Specialised Staffing B.V. will never be liable for amounts greater than the invoice amount.

13. Amendment of General Terms and Conditions
Corbulo Specialised Staffing B.V. is authorised to amend these General Terms and Conditions. Such amendments enter into effect on the stated commencement date. Corbulo Specialised Staffing B.V. will send the amended General Terms and Conditions to the client in a timely fashion. If no commencement date is announced, amendments will enter into effect vis-à-vis the client once the client has been informed of the amendments.

14. Applicable law
All agreements between Corbulo Specialised Staffing B.V. and the client are governed by Dutch law. In deviation from the statutory rules regarding the competence of the civil court, all disputes between the client and Corbulo Specialised Staffing B.V. will be adjudicated by the Hague District Court, if the district court has jurisdiction. Corbulo Specialised Staffing B.V. continues to be authorised, however, to summon the opposite party before the court having jurisdiction according to the law or the applicable international treaty.
